These Terms of Service (the "Terms") are a legal agreement between you and Concept Light & Sound LLC, a New Jersey limited liability company ("Concept Light & Sound," "we," "us," or "our"). They govern your use of our website, your communications with us (including SMS / text messages), and the residential lighting and audio design, installation, and service work we provide.

By using our website, submitting a form, requesting a consultation, opting in to receive text messages, or engaging us for services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our website or services.

1. Who May Use Our Services

You must be at least 18 years old and able to enter into a legally binding contract to use our website and services. By using our website, you represent that you meet this requirement. If you are submitting a request on behalf of someone else (for example, a family member, property owner, architect, or designer acting on behalf of a client), you confirm you have authority to do so.

2. Our Services

Concept Light & Sound provides design, specification, supply, installation, programming, and service of residential lighting and audio systems in New Jersey, including (without limitation) architectural and decorative lighting, landscape and outdoor lighting, distributed whole-home audio, home theater and media rooms, and related control systems. Specific scope, pricing, equipment, and timing for each engagement will be confirmed in a written proposal, contract, or work order.

2.1 Proposals and pricing

Proposals are estimates based on the information you provide and our on-site assessment. Final pricing may be adjusted if the actual conditions of the project differ materially from what was assessed — for example, undisclosed structural conditions, changes in scope, or substitutions in finishes or equipment. Any adjustment will be discussed with you and agreed in writing before that portion of the work proceeds.

2.2 Scheduling and access

You agree to provide reasonable and safe access to the property on the scheduled service or installation dates, and to coordinate with any other trades working in the same space. If you need to reschedule, please give us as much advance notice as possible. We may charge a reasonable trip fee for missed appointments or last-minute cancellations.

2.3 Property condition

You agree to disclose, in advance, any known conditions that could affect the project, including but not limited to: knob-and-tube or otherwise non-standard wiring, asbestos, lead paint, structural issues, prior unpermitted work, or active leaks. We are not responsible for damage or delay that results from undisclosed pre-existing conditions or from work performed by others.

2.4 Manufacturer warranties

Equipment we install is covered by the warranties offered by its manufacturer. We will pass through and help administer any valid warranty claim on equipment we supplied. Our workmanship is warranted as stated in your specific written contract or work order.

3. Payment

Payment terms — including any deposit, progress payments, and final payment due upon substantial completion — will be set out in your written proposal or contract. Past-due balances may accrue interest at the maximum rate permitted by New Jersey law and may be subject to reasonable collection costs.

4. SMS / Text Messaging Terms

If you provide your mobile phone number and check one or both of the optional consent boxes on our forms (or otherwise expressly opt in), you agree to receive text messages from Concept Light & Sound LLC at the number you provided, sent on our behalf using an automated system. You are not required to opt in as a condition of working with us.

4.1 Program description

• Transactional SMS (separate opt-in): appointment confirmations, scheduling and rescheduling updates, on-the-way notifications, project status updates, completion confirmations, invoices, payment receipts, and other communications related to a project or service you have requested.
• Marketing SMS (separate opt-in): seasonal promotions, service reminders, and announcements about new products or capabilities from Concept Light & Sound LLC.

Carriers, including but not limited to AT&T, T-Mobile, Verizon, and their respective affiliates, are not liable for delayed or undelivered messages. We cannot guarantee delivery of any specific message.

5. Acceptable Use of Our Website

When you use our website, you agree not to:

• Submit false, misleading, or fraudulent information (including someone else's phone number without their permission)
• Use our website or messaging program to harass, abuse, or harm another person
• Interfere with or attempt to disrupt the security or operation of our website
• Use any automated system, bot, or scraper to access our website without our written permission
• Use our website in violation of any applicable law or regulation

6. Intellectual Property

The Concept Light & Sound name, logo, website content, copy, photos, and graphics are owned by Concept Light & Sound LLC or its licensors and are protected by copyright, trademark, and other intellectual-property laws. You may not copy, reproduce, distribute, or create derivative works from any of it without our prior written permission, except that you may share links to our website. Design drawings, lighting plans, schematics, and other deliverables produced for your project remain our intellectual property unless and until expressly assigned to you in writing in your contract.

7. Third-Party Links and Services

Our website may include links to third-party websites or use third-party services (for example, Google Maps, Meta lead forms, review platforms, or payment processors). We are not responsible for the content, accuracy, or practices of any third party. Your use of any third-party service is governed by the third party's own terms and privacy policy.

8. Disclaimer of Warranties

Our website and services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected. Workmanship and equipment warranties applicable to any project we install are as expressly stated in your written contract; this Section does not limit those project-specific warranties.

9. Limitation of Liability

To the maximum extent permitted by law, Concept Light & Sound LLC and its officers, members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or loss of goodwill — arising out of or related to your use of our website, services, or SMS program, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising out of or related to these Terms, our website, or any service you have purchased will not exceed the amount you have paid us for the service giving rise to the claim in the twelve (12) months before the claim arose. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless Concept Light & Sound LLC and its officers, members, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your misuse of our website or services; (c) your violation of any law or the rights of any third party; or (d) any false or unauthorized information you provide to us (including phone numbers you do not have permission to provide).

11. Termination

We may suspend or terminate your access to our website or services at any time, with or without notice, if we believe you have violated these Terms or applicable law, or if continuing to provide service would expose us to legal or financial risk. You may stop using our website at any time. The provisions of these Terms that by their nature should survive termination (including Sections 6 through 13) will survive.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we will provide additional notice (for example, by posting a notice on our website or sending you an email). Your continued use of our website or services after the update means you accept the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. You and Concept Light & Sound LLC agree that any dispute arising out of or related to these Terms or our services will be brought exclusively in the state or federal courts located in Essex County, New Jersey, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any rights you may have under applicable consumer-protection law.

14. Miscellaneous

These Terms, together with our Privacy Policy and any written proposal, contract, or work order between us, form the entire agreement between you and Concept Light & Sound LLC about your use of our website and services. If there is a conflict between these Terms and a signed project contract, the signed project contract controls as to that project. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
